Primary objectives
Contribute to excellent client service and perform fee-earning work under supervision.
Make an effective contribution to the firm’s work by aiming to meet and exceed target hours.
Build on legal and commercial knowledge in chosen practice area.
Begin cultivating relationships with current client contacts where possible and in some instances, be a direct point of contact.
Key responsibilities
Advising on a range of transactions across multiple sectors, with an increased focus on transactional work in the Energy and Infrastructure sectors. Within infrastructure, digital infrastructure is becoming prominent for us.
Being involved in M&A, joint ventures, investments (including venture capital transactions and pre-IPO capital raisings) and reorganisations
Leading on certain aspects of transactions, assisting and supervising associates, the firm’s ALT team and trainees
Building relationships with clients, identifying and acting on opportunities
Plan, prioritise and delegate work tasks as appropriate and update supervising team member on progress.
Build client relationships - provide excellent client service and prompt responses and progress updates to the client.
Support the firm and others - build effective relationships with individuals and groups in and across offices; uphold the firm’s values; and assist with the preparation of legal precedents, legal articles, marketing documents and presentations.
Comply with risk requirements, firm policies and all relevant professional responsibilities and legislation.
SKILLS, EXPERIENCE AND QUALIFICATIONS
Qualifications, skills and experience
Qualified/admitted legal practitioner in a common law jurisdiction
Excellent academics
3 - 6 years' PQE, however we are open to considering candidates with more or less experience
Demonstrable experience of supporting/leading on corporate M&A and joint venture matters
Experience in Energy and Infrastructure sectors is also desirable
Experience of acting on complex cross-border M&A
Strong foundation legal skills, including drafting, writing, negotiation and project management.
Familiar with law firm profitability and key drivers for financial efficiency.
Ability and drive to work on bespoke, big-ticket and complicated transactions
A strong interest in the energy, real estate and infrastructure sectors, including:
Digital infrastructure;
Power and Renewables; and
Oil & Gas

HSF’s corporate practice in the Middle East has a broad mix of M&A, joint venture and investment work. The team is regularly involved in award winning and other high profile transactions that span a number of sectors and territories.
Uber’s acquisition of Careem was the biggest ever technology acquisition in the Middle East and won M&A deal of the year at the 2020 IFLR Middle East awards. The team has also worked on other significant transactions such as:
a Saudi giga project on various large scale joint ventures;
Zain Group and TASC Towers on the merger of their tower portfolios with Ooredoo's tower portfolio to create the largest independent mobile tower company in MENA;
the sale by Uber of a majority stake in Careem’s Super App through the creation of a separate entity, Careem Technologies to Etisalat (E&);
e& enterprise, part of e& (formerly known as Etisalat Group, a UAE-based global technology and investment group), on its joint venture with Bespin Global;
Marubeni Global Pharma on its agreement to acquire a minority stake in Lunatus Marketing & Consulting; and
RWE Energy Transition Investments, an investment vehicle of one of the largest renewable energy companies in the world – RWE Supply & Trading GmbH, on its investment into Ryse Energy.
In addition, the Middle East’s corporate M&A practice regularly works with other network offices and practice groups on corporate M&A mandates for core clients of the firm.

Uber B.V. on its $3.1 billion acquisition of Careem, the largest provider of internet-led transportation in the Middle East. This is the biggest ever technology acquisition in the Middle Eas
Aramex, a leading listed logistics provider, on the disposal of Infofort, a multi-jurisdictional part of its group by way of a competitive auction process
Qannas Investments Limited, a closed-ended investment company whose shares are admitted to trading on AIM, on its proposed acquisition of a portfolio of assets and liabilities from a consortium of UAE investors to be completed by way of a reverse takeover under the AIM Rules
Zain Group and TASC Towers on the merger of their tower portfolios with Ooredoo's tower portfolio to create the largest independent mobile tower company in MENA
Marubeni on the sell down of a significant minority interest in the Fujairah F3 independent power project and the acquisition of a controlling interest in a regional healthcare solutions company
